Welcome to Master Haul Logistics LLC("Company", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of our logistics management, freight coordination, shipment tracking, dispatch optimization, and related software services (collectively, the "Services").
By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.
//1. Eligibility & Regulatory Compliance
To use the Services, users must create and maintain an accurate and complete account profile. Carriers, brokers, shippers, and logistics operators are responsible for ensuring that all information provided to the Company remains current and compliant with applicable laws.
- •Operating Authority: Motor carriers must maintain all licenses, permits, registrations, operating authority, and insurance coverage required under applicable transportation regulations, including FMCSA and DOT requirements where applicable.
- •Account Security: Users are solely responsible for safeguarding account credentials and for all activities conducted through their accounts.
//2. Acceptable Use
Users may not access or use the Services in any manner that is unlawful, fraudulent, harmful, or intended to disrupt platform operations.
- •Use automated tools, bots, crawlers, or scraping technologies to extract platform data without prior written authorization.
- •Upload false shipment records, inaccurate tracking information, or misleading operational data.
- •Attempt to interfere with, compromise, or gain unauthorized access to Company systems, infrastructure, or user accounts.
We reserve the right to suspend or terminate access to the Services for violations of these Terms or any conduct that may negatively impact platform integrity or security.
//3. Fees, Billing & Payments
Certain Services may require payment of subscription fees, transaction fees, usage-based charges, or other applicable costs. All fees will be disclosed through the platform or agreed upon in writing.
Users agree to pay all invoices and charges within the applicable payment period. Overdue balances may accrue interest at a rate of 1.5% per month or the maximum amount permitted by law, whichever is lower.
The Company reserves the right to suspend access to the Services for accounts with unpaid balances.
//4. Intellectual Property
The Services, including all software, source code, platform architecture, workflows, graphics, trademarks, branding, and related materials, are owned by or licensed to Master Haul Logistics LLC and are protected under applicable intellectual property laws.
Except as expressly authorized in writing, users may not reproduce, distribute, modify, reverse engineer, decompile, or create derivative works based on any portion of the Services.
//5. Liability & Disclaimers
Master Haul Logistics LLC does not guarantee uninterrupted availability, error-free operation, or the accuracy of shipment, tracking, routing, or logistics data made available through the platform.
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, cargo loss, cargo theft, delivery delays, or operational disruptions.
The Company’s total cumulative liability arising out of or relating to the Services shall not exceed the total amount paid by the user during the six (6) months preceding the event giving rise to the claim.
//6. Governing Law & Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiations.
If a dispute cannot be resolved informally, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
//7. Account Suspension & Termination
We reserve the right to suspend, restrict, or terminate access to the Services at our discretion where:
- •The user violates these Terms;
- •The user engages in fraudulent or unlawful activity;
- •The user’s actions create security, operational, or reputational risks for the Company or other users.
Termination of access does not relieve users of outstanding payment obligations or liabilities incurred prior to termination.
